Terms of Use

These Terms of Use ("Terms") govern access to and use of the IMICRYL B2B Sales Portal at order.imicryl.com (the "Portal"), operated by IMICRYL DENTAL A.Ş., Konya Organize Sanayi Bölgesi, Vezirköy Cad. No:2, Selçuklu / Konya, Türkiye ("IMICRYL", "we", "us"). By applying for an account, signing in or placing an order, you accept these Terms on behalf of yourself and the business or institution you represent ("you", "Customer"). If you do not agree, please do not use the Portal.

1. The Portal

The Portal is a business-to-business platform through which approved customers can view IMICRYL's catalogue and prices and place and manage orders for dental materials. It is intended exclusively for dental dealers and distributors, clinics, laboratories, hospitals, universities, dental professionals and dental students acting in a professional or educational capacity. It is not available to consumers.

Where you have a separate written agreement with IMICRYL (such as a distribution or supply agreement), that agreement prevails over these Terms in case of conflict.

2. Membership

• To use the Portal you must apply for membership and be approved by IMICRYL. We review each application and may approve or decline it at our discretion, without having to give reasons.
• You must provide accurate, current and complete information and keep it up to date. We may ask for documents confirming your business or professional status.
• The person applying confirms that they are at least 18 years old and authorised to act for the business or institution named in the application.
• Upon approval we assign your account a customer code and a price list. Your account may not be transferred to another person or business.

3. Account security and sign-in

• You can sign in with your e-mail address or customer code and password, or with a Google, Apple, Facebook or X account if you chose that option.
• You are responsible for keeping your sign-in credentials and the accounts used to sign in confidential, and for all activity, including orders, carried out through your account.
• Notify us immediately at export@imicryl.com if you suspect unauthorised access to your account.
• Signing in with a third-party account is also subject to that provider's terms. IMICRYL is not responsible for the availability of third-party sign-in services.

4. Products and prices

• Prices shown to you are those of the price list assigned to your account, in the currency of that price list, and exclude VAT and other taxes, duties and shipping costs unless stated otherwise.
• Volume (tier) prices apply when the total quantity ordered of a product, across all its options, reaches the stated tier. Some products are sold only from a minimum order quantity (MOQ).
• We may change prices, product ranges, specifications and price-list assignments at any time. Changes do not affect orders already confirmed by us.
• Despite our care, the Portal may contain errors in prices or product information. If an order is affected by an obvious error, we will contact you before processing it and may correct or cancel it.
• Product images are illustrative; the product's labelling and instructions for use prevail.

5. Orders

• Submitting an order through the Portal is an offer to buy the products at the prices shown. A sales contract is formed when IMICRYL confirms or begins processing the order.
• You may change a submitted order through the Portal until IMICRYL locks it for processing. When an order is changed, its prices are recalculated according to your current price list. Once an order is locked, it can no longer be changed through the Portal; contact us if you need a change.
• We may decline or cancel an order, in whole or in part, for example where products are unavailable, information is incorrect, credit limits or payment terms are not met, or export or legal restrictions apply. We will inform you if this happens.
• Estimated delivery or production times are indicative unless agreed otherwise in writing.

6. Payment, delivery and documents

• Payment terms, delivery terms (including Incoterms), shipping method and transfer of risk are as agreed between you and IMICRYL for your account or confirmed for the specific order.
• Proforma invoices generated by the Portal are for information and payment-arrangement purposes only and are not tax invoices. The official invoice is issued by IMICRYL when the goods are shipped.
• You are responsible for import permits, registrations, duties and taxes in the destination country unless agreed otherwise.
• Please inspect deliveries on arrival and notify us of visible damage, shortages or wrong products promptly, and in any case within 8 days of delivery.

7. Acceptable use

You agree not to:

• use the Portal for any unlawful purpose or in breach of export control or sanctions laws;
• attempt to access accounts, data or parts of the Portal you are not authorised to access, or test, probe or circumvent its security;
• copy, scrape or systematically extract catalogue or price information, or disclose your price list to third parties, except to the extent necessary for your own business with IMICRYL;
• interfere with the operation of the Portal, introduce malicious code or place an unreasonable load on our systems;
• submit false applications or orders, or let another person use your account.

8. Professional use of products

IMICRYL products are dental materials and medical devices intended for use by qualified dental professionals. They must be stored, handled and used in accordance with their labelling and instructions for use. Customers who resell products are responsible for complying with the regulations applicable in their market.

9. Intellectual property

The Portal, its content and the IMICRYL name, logos and product names are the property of IMICRYL or its licensors and are protected by intellectual property laws. You may use catalogue content only to order from IMICRYL and, for authorised dealers, to promote IMICRYL products as agreed with us.

10. Liability

• We aim to keep the Portal available and accurate but provide it "as is" and do not guarantee uninterrupted or error-free operation. We may suspend it for maintenance or security reasons.
• To the extent permitted by law, IMICRYL is not liable for indirect or consequential losses, loss of profit or loss of data arising from use of the Portal, and our total liability in connection with an order is limited to the price of that order.
• Nothing in these Terms limits liability that cannot be limited by law, including liability for wilful misconduct or gross negligence.
• Warranty and liability relating to the products themselves are governed by the applicable sales terms and law.

11. Suspension and termination

We may suspend or close your account, or decline further orders, if you breach these Terms, if the information you provided proves incorrect, if payments are overdue, or if required by law. You may ask us to close your account at any time by e-mailing export@imicryl.com. Orders already confirmed remain subject to these Terms after closure.

12. Changes, law and contact

• We may update these Terms from time to time. The updated version applies from its publication on the Portal; continuing to use the Portal after an update means you accept it. Orders already placed remain subject to the Terms in force when they were placed.
• Personal data is processed as described in our Privacy Policy.
• These Terms are governed by the laws of the Republic of Türkiye, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The courts and enforcement offices of Konya, Türkiye have jurisdiction, unless agreed otherwise in a separate written agreement.
• If any provision is found invalid, the remaining provisions remain in effect.
